Terms of Service
Effective date: July 15, 2026
These terms are the agreement between you and Fate Labs for using Estelle. They cover what you can do with the service, what you are responsible for (especially your own model keys), and the usual limits on warranties and liability. How we handle your data is covered separately in the Privacy Policy.
The agreement
By creating an account or using Estelle (the web app, dashboard, API at api.fatelabs.ca, hosted MCP server, or CLI), you agree to these terms. If you use Estelle on behalf of an organization, you confirm you are authorized to bind that organization, and “you” means that organization. If you do not agree, do not use the service.
Accounts
You are responsible for your account and for keeping your credentials secure. You must provide accurate information, you must be at least 18 years old, and you are responsible for the activity of teammates you invite into your workspace. Tell us promptly at khai@fatelabs.ca if you suspect unauthorized use of your account.
Bring your own key
Estelle is bring-your-own-key: you supply the API key or plan for your own model provider, and Estelle uses it to call that model on your behalf. Because of this:
- You are responsible for your model provider bill, and for complying with that provider's terms of service and usage policies.
- You confirm you are permitted to use the key you supply, and to send it the code and content you send.
- Estelle does not mark up your model tokens and does not route your model traffic anywhere except to the provider you selected.
- We are not responsible for your provider's availability, output quality, pricing, or how that provider handles the traffic you send it.
Acceptable use
You agree not to use Estelle to:
- Break the law, infringe others' intellectual property, or violate anyone's privacy.
- Upload or process content you do not have the rights to, or that you are barred from sending to your model provider.
- Attempt to break, overload, reverse-engineer, or circumvent the service, its rate limits, its metering, or its security, including the tenant-isolation boundary.
- Access another customer's namespace or data, or attempt to.
- Resell or sublicense the service except as expressly permitted, or use it to build a competing service by scraping it.
- Generate malware, run unlawful automation, or use the service to harm others.
We may suspend or limit access to protect the service or other customers if we reasonably believe these terms are being violated. Specific rate limits and fair-use thresholds are described in your plan and the docs.
Your content & IP
Your code, your content, and the memory Estelle derives from them are yours. You grant Fate Labs only the limited license needed to operate the service for you: to store, index, embed, and process your content so Estelle can provide grounded memory and verification back to you, and to transmit it to the model provider whose key you supplied.
We do not acquire ownership of your content, and, consistent with the Privacy Policy, we do not use your code content to train models or to improve the product for other customers.
Our IP
Estelle, Fate Labs, the software, the models and systems we build, and the site are our intellectual property or licensed to us. These terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service while your account is in good standing, and nothing more. Any feedback you send us may be used to improve the product without obligation to you.
Plans & billing
Estelle offers a free tier and paid plans. Paid plans bill for capacity, seats, and overflow, as described on the pricing page. Your model tokens are billed by your provider, not by us.
- Subscriptions renew automatically for the interval you chose unless cancelled before renewal. You can cancel anytime; access continues to the end of the paid period.
- Fees are charged through Stripe. Except where required by law, fees are non-refundable and we do not pro-rate partial periods.
- We may change prices with at least 30 days' advance notice; changes take effect on your next renewal after that notice.
- Taxes are your responsibility where applicable.
Drafts, previews & changes
Estelle is under active development. Some capabilities are preview or beta and may change or be withdrawn. We may update these terms; if a change is material we will give reasonable notice (for example, by email or an in-product notice), and continued use after the change takes effect means you accept the updated terms.
No warranty
Estelle is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or secure.
Estelle reduces model guessing by grounding answers in your real code and gating what it cannot prove, but it is a tool: it does not guarantee that generated code is correct, secure, or fit for your purpose. You remain responsible for reviewing and testing anything you ship. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
Limitation of liability
To the maximum extent permitted by law, Fate Labs is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or relating to your use of Estelle, even if we were advised of the possibility.
Our total aggregate liability for any and all claims relating to the service is capped at the greater of (a) the fees you paid us for the service in the 12 months before the event giving rise to the claim, or (b) US $100. Nothing in these terms limits liability that cannot be limited by law (for example, liability for fraud or willful misconduct).
Indemnity
You agree to defend and indemnify Fate Labs and its officers, directors, and employees against third-party claims, damages, and reasonable costs arising from: your content; your use of the service in violation of these terms or the law; or your breach of your model provider's terms. This does not apply to claims that Estelle's own software, as provided by us, infringes a third party's rights.
Termination
You can stop using Estelle and delete your account at any time. We may suspend or terminate access for a material breach of these terms, for non-payment, or to comply with the law, with notice where practicable.
On termination, your right to use the service ends. Before you close your account you can export your data (see Your rights & controls); after closure, your namespaces are deleted, subject to the retention periods in the Privacy Policy. Sections that by their nature should survive termination (IP, disclaimers, limitation of liability, indemnity, governing law) do survive.
Governing law & disputes
These terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable there, without regard to conflict-of-law rules. You and Fate Labs agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute that is not otherwise resolved. If any provision is held unenforceable, the rest stays in effect.
